Terms of Service
Effective: April 16, 2026 · Merico, Inc.
These Terms of Service ("Terms") govern your access to and use of the Human Signoff service ("Service"), an online platform provided by Merico, Inc. ("Merico," "we," "our," or "us"). By accessing or using the Service, or by clicking "I Agree," you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service.
1. The Human Signoff Service
1.1 Eligibility
You must read and agree to these Terms before using the Service. Use of the Service requires you to form a binding contract with Merico and comply with all applicable laws. Access is prohibited for users under 18 years old and those previously removed by Merico.
1.2 Limited license
Subject to these Terms, we grant you a non-exclusive, limited, non-transferable, freely revocable license to use the Service as permitted by its features. Merico retains all rights not expressly granted. We may terminate this license at any time without cause.
1.3 Accounts
You may need to register for an account to access certain features. When opening an account on behalf of a company or organization, you represent that you have authority to bind that entity. You must provide accurate, current information and maintain password security.
1.3.1 Administrative accounts
Administrative accounts allow certain users to determine access levels, privacy, and security settings for related accounts, including the ability to disable other accounts. Administrative accounts must comply with all general account terms.
1.4 Acceptable use
When using the Service, you agree NOT to:
- Upload threatening, hateful, or inappropriate content
- Engage in spamming, fraudulent, or illegal activities
- Infringe third-party intellectual property or privacy rights
- Damage, disable, overburden, or impair the Service
- Attempt unauthorized access through hacking or password mining
- Use automated tools (robots, spiders, scrapers) without express permission
- Impersonate others or access accounts without permission
- Reverse engineer, decompile, or attempt to discover source code
- Rent, lease, resell, sublicense, or transfer the Service
- Remove security features or interfere with copy restrictions
- Access the Service as a direct competitor without written consent
- Attempt or assist others in attempting any prohibited activity
1.5 Disputes with other users
You bear sole responsibility for your interactions with other users. Merico reserves the right, but has no obligation, to monitor disputes between users. We shall have no liability for your interactions with other users, or for any user's action or inaction, including any disabling of your account by an administrative account.
1.6 Third-party integrations
You may authorize Merico to retrieve data from third-party systems such as GitHub, Slack, or other platforms. You represent that you have permission and authority to grant such access. You designate Merico as your agent to access these services, store credentials, and gather data necessary to provide the Service.
1.7 Third-party links
The Service may contain links to third-party websites and services not owned or controlled by Merico. We do not endorse third-party content and are not responsible for their practices. You access third-party sites at your own risk.
1.8 Changes to the Service
Merico may, without prior notice, change the Service, stop providing the Service or features, or create usage limits. We may permanently or temporarily terminate or suspend your access without notice or liability for any reason.
2. User Data
Certain features allow you to import, submit, or provide data including configuration settings, approval rules, agent metadata, and other materials ("User Data").
We claim no ownership rights over User Data created by you. Your User Data remains yours. By providing User Data through the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and process such User Data solely to operate and provide the Service to you. This license terminates when you delete your User Data or close your account, except where retention is required by law or described in our Privacy Policy.
You represent and warrant that you have all rights necessary to submit User Data and that such data does not violate any laws or infringe any third-party rights.
Merico takes no responsibility for User Data and assumes no liability for its content. You bear sole responsibility for your User Data and the consequences of making it available.
3. Proprietary Rights
Except for User Data, the Service and all materials including software, images, text, graphics, logos, patents, trademarks, and copyrights ("Human Signoff Content") are the exclusive property of Merico or its licensors. Nothing in these Terms grants a license to such intellectual property. You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, perform, publish, adapt, edit, or create derivative works from Human Signoff Content except as expressly permitted.
4. Paid Features
4.1 Fees
Merico may charge fees for access to certain features. You agree to pay all fees specified in your order. Merico may add new services with additional fees or amend existing fees at any time, effective in the following billing cycle after notice.
4.2 Subscriptions
Your subscription will automatically renew at the end of each subscription term for subsequent terms of equal length unless you cancel before the next term begins. By purchasing a subscription, you authorize Merico and its payment processors to charge subscription fees, applicable taxes, and other charges at the beginning of each term.
4.3 Cancellation
To cancel, notify Merico before your next subscription term begins by using the Service's cancellation features or by contacting legal@merico.ai.
4.4 No refunds
You may cancel your account or subscription at your discretion; however, Merico does not grant refunds for cancellation. You will not receive refunds for unused subscription time, licensing fees, or associated content and data.
4.5 Payment processing
Merico uses third-party payment processors for payment processing. These processors retain financial information; Merico does not retain credit card details. We currently use Stripe, Inc. for payment processing. See Stripe's Privacy Policy for details on how they handle personal information.
5. Privacy
By using the Service, you consent to the collection, use, and disclosure of personal information as described in our Privacy Policy, including information transfer to and processing in the United States.
6. Security
Merico uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your information. However, we cannot guarantee that unauthorized parties will not defeat our security measures. You acknowledge that you provide information at your own risk.
7. DMCA Notice
Merico respects intellectual property rights and responds to DMCA-compliant infringement notices. If you believe your copyrighted work has been infringed, provide written notice to our DMCA Agent with the required information including identification of the copyrighted work, location of infringing material, your contact information, and statements of good faith belief and accuracy under penalty of perjury.

8. Indemnification
You agree to defend, indemnify, and hold Merico harmless (including affiliates, employees, officers, and directors) from any claims, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from your use of the Service, violation of these Terms, violation of third-party rights, or your User Data.
9. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. Use of the Service is at your own risk. To the maximum extent permitted by applicable law, the Service is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Service will meet your requirements, be available at any particular time or location, be uninterrupted or secure, or that any defects or errors will be corrected.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Merico, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
In no event shall Merico's total liability to you for any claims exceed the amount you paid us to access the Service or $100.00, whichever is greater.
11. Governing Law and Dispute Resolution
11.1 Governing law
These Terms are governed by the laws of the State of California without regard to conflict-of-law principles. You submit to the personal jurisdiction of the federal and state courts in San Francisco County, California.
11.2 Arbitration
You must first contact Merico at legal@merico.ai to attempt informal dispute resolution. If unresolved after 60 days, both parties agree to binding arbitration by JAMS under its Optional Expedited Arbitration Procedures. Arbitration occurs in San Francisco County, California, unless otherwise agreed.
11.3 Class action waiver
All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class action, collective action, or other representative proceeding. By entering into these Terms, you and Merico each waive the right to a trial by jury or to participate in a class action.
12. General Provisions
12.1 Assignment
These Terms cannot be transferred or assigned by you but may be assigned by Merico without restriction.
12.2 Modifications
Merico may modify these Terms at any time. Material changes will trigger an updated effective date and notification. Continued use after changes constitutes acceptance. If you do not agree, you should discontinue use of the Service.

12.5 Entire agreement
These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement concerning the Service. If any provision is found invalid, the remaining provisions remain in full force and effect.
